GeneLife Reward Program (GRP) - Terms and Conditions

This GRP Points Terms and Conditions ("Agreement") governs the terms upon which the GRP Points services ("Services", also referred as "GeneLife Points") are provided to customers who have an account in GeneLife.

For you to participate in the Services, you must have a GeneLife account in the GeneLife application provided by Genesis Healthcare Co. (“Genesis”). By using the Services, you are deemed to have accepted this Agreement, so please read through this Agreement carefully. This Agreement constitutes a part of the terms and conditions of the GeneLife application. Matters not covered by this Agreement regarding your use of the Service shall be governed by other applicable terms, conditions, policies, guidelines and procedures provided by Genesis, which may be amended by Genesis from time to time.

  1. GeneLife Point Issuance
    • GeneLife Points will be issued for: (a) purchases of such products as sold by Genesis or other sellers (“Seller”) in the GeneLife application and as designated by Genesis ("Eligible Products") or a Seller, or (b) the use of, or participation in, such services, campaigns, research projects and surveys as designated by Genesis ("Eligible Services", together with Eligible Products, "Eligible Transactions") subject to the issuance units or rate determined by Genesis. Eligible Transactions will be specified in the GeneLife application and may be added, removed or amended from time to time by Genesis.
    • Genesis reserves the right to determine all terms and conditions regarding GeneLife Points, including but not limited to GeneLife Point issuance, issuance rates, issuance timing, and effective terms and expiration dates. You agree to comply with the terms and conditions determined by Genesis.
    • GeneLife Points issued to you at the time an Eligible Product is purchased are pending points only; such points are unvested points that cannot be redeemed by the User to pay for purchases. Such points become vested as a means for paying for purchases only after certain requirements have been met, after which they become confirmed points.
    • In general, such pending points become confirmed on approximately 10 business days or more as date of shipment of Eligible Products. However, depending on the situation, this may take more time, up to two or three weeks.
    • If GeneLife Points were used to pay for an Eligible Transaction, the price after subtracting the amount of the GeneLife Points used, will be considered as the price of Eligible Transaction for purposes of GRP Points issuance.
    • If an order made in the GeneLife application is cancelled or a product is returned before the points are confirmed, such points issued to the order will become void.
  2. GRP Point Redemption
    • Only GeneLife Points that are confirmed can be redeemed to pay for part or all of products or services specified by Genesis as one (1) GeneLife Point being equivalent to one (1) Japanese yen. Genesis may limit products or services for which GeneLife Points can be redeemed and may apply other terms and conditions to the use of GeneLife Points.
    • GeneLife Points can be redeemed to purchase products from a third-party seller, including sellers in the GeneLife application as separately specified by Genesis and subject to terms and conditions of such specification and the terms and conditions imposed by the respective third-party seller.
    • GeneLife Points can be converted to rewards or points in other programes as separately specified by Genesis and subject to terms and conditions of such specification and the other programe.
    • GeneLife Points cannot be redeemed to pay for subscriptions or membership fees such as an annual membership fee for services provided by Genesis.
    • GeneLife Points cannot be redeemed to purchase digital content products.
    • GeneLife Points cannot be redeemed at Genesis web sites.
    • You will be deemed to have redeemed GeneLife Points if, at the time of transaction or redemption, your e-mail address and associated password are correctly entered to your account in the GeneLife application. Even if an unauthorized use by a third-party has occurred, Genesis will not be liable nor refund any GeneLife Points to you as long as your e-mail address and associated password are correctly entered to your account in the GeneLife application.
    • If you redeem GeneLife Points to pay for a product and the said product is then cancelled or returned, the GeneLife Points redeemed for the said purchase will be returned in part or in full pursuant to the rules established by Genesis. Returned GeneLife Points will be returned to the original GeneLife account only.
    • Genesis reserves the right to impose limitations on the usage of GeneLife Points, including but not limited to the lower and upper limits on how many GeneLife Points may be used per order, and the upper limit for the number of GeneLife Points that may be used in a given period. Furthermore, Genesis reserves the right to add, change or amend these limitations without prior notice.
  3. GeneLife Point Effective Term and Expiration Date
    • GeneLife Points are valid for a one-year period starting on the day the last transaction (such as an Eligible Transaction that caused the issuance of GeneLife Points or a transaction redeeming valid GeneLife Points) took place.
    • If you do not redeem such valid GeneLife Points within one year, the respective GeneLife Points in your account will expire.
    • If GeneLife Points in pending status have not become confirmed after a certain period, such points in pending status may be void without advance notice.
    • Expired GeneLife Points are void.
    • Genesis will not be liable for any damages or compensations whatsoever for the expired GeneLife Points.
  4. Confirmation of Your GeneLife Points
    • You may confirm the redemption and balance of your GeneLife Points in the GeneLife application.
    • There may be a delay for GeneLife Points information to be updated in the GeneLife application.
    • In case you are unsure about the current GeneLife Point balance or other information, please contact our Customer Support.
  5. GeneLife Point Invalidation
    • If you cancelled or returned a product after GeneLife Points were issued, we will deduct such GeneLife Points from your account or deduct an amount equivalent to such GeneLife Points from the refund amount for such returned product. If the GeneLife Points in your account or the refund amount is insufficient to cover GeneLife Points to be deducted, Genesis may charge you for the difference.
    • Genesis reserves the right to determine in its sole discretion that certain GeneLife Points should be invalidated due to unlawful or fraudulent activity, breach of this Agreement or any other terms, policies or rules that may apply and Genesis will deduct such invalidated GeneLife Points from your account and/or bill you for the amount equivalent to the invalidated GeneLife Points.
    • Genesis reserves the right to carry out the following actions without notice: (a) setoff any or all billable amounts pursuant to Items (1) and (2) above against any amounts payable by Genesis to you; (b) setoff, deduct any or all billable amounts pursuant to Items (1) and (2) above by deducting such billable amounts from any future amounts payable to you, bill to a credit card account registered to your account, or any other method permissible under law.
    • Genesis will not be liable for any damages or compensations whatsoever for invalidated GeneLife Points.
  6. E-mails on GeneLife Points
    • You agree to be contacted via electronic communication by Genesis (either via e-mail or through the GeneLife application) about GeneLife Points or related matters (including but not limited to the current balance, effective term and promotions relating to GeneLife Points, and other important notices).
  7. Additional Terms and Conditions
    • GeneLife Points cannot be exchanged for cash.
    • GeneLife Points can be issued to and redeemed only by residents of Japan.
    • Resale of and other transfers of GeneLife Points are strictly prohibited.
    • GeneLife Points are not transferable or inheritable.
    • GeneLife Points associated with a customer account may only be used by the holder of such account and may not be used by any third party.
    • Even if you have multiple accounts, you cannot combine GeneLife Points in one account with those in your other accounts.
    • You shall bear sole responsibility for any applicable taxes or other charges that arise in connection with issuances of GeneLife Points to you, or your redemption of GeneLife Points.
    • If Genesis determines that the redemption of certain GeneLife Points should be denied due to unlawful or fraudulent activity, breach of this Agreement, other terms, policies or rules, Genesis may invalidate such GeneLife Points and may bill you for the amount equivalent to the invalidated GeneLife Points.
    • In cases of unlawful or fraudulent activity, breach of this Agreement, the terms and conditions or other agreements or rules, etc., or any other cases indicating inappropriate use of GeneLife Points, Genesis may cancel, terminate, suspend or invalidate the respective GeneLife Points or the transaction that involved such GeneLife Points.
    • You may only redeem GeneLife Points pursuant to the conditions and methods determined by Genesis, including as provided in this Agreement. Redemption of GeneLife Points that do not comply with this Agreement is strictly prohibited.
  8. Disclaimers
    • Genesis reserves the right to change, suspend or terminate this Agreement or GeneLife Points program, and you agree to comply with such determination. Genesis will not be liable for any damages or compensations whatsoever.
    • Genesis disclaims all warranties, express or implied, with respect to the operation of GeneLife Points. Genesis will not be liable for interference, damage to or loss of data or any other damages caused to you in connection with your use of the Services due to telecommunication incidents, blackouts, computer damage, etc.
    • If your GeneLife Point account or your GeneLife account is closed or terminated, you will lose all rights to your GeneLife Points associated to your account and your rights to use the Services, and you will have no rights or recourses to claim any damages or compensations whatsoever in connection with such closure or termination.
    • o Genesis Healthcare shall bear no responsibility and shall not be liable for any transactions, losses, or damages arising from the exchange of GeneLife Points with third-party companies. Users who engage in point exchanges with such third parties do so at their own risk, and agree to be bound by the terms and conditions and privacy policies set forth by the respective third-party service providers.
